Terms of Use

These Terms of Use ("Terms") govern your access to and use of the ShortsInsights website and related services operated by ShortsInsights ("ShortsInsights", "we", "us", "our"), including dashboards, charts, features, and any official application programming interface we may make available (together, the "Service").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1) Who the Service is for

1.1 18+ only. You must be at least 18 years old to use the Service.

1.2 Consumer / personal use only by default. Unless we explicitly offer or approve another type of use in writing, the Service is intended only for personal, non-commercial use by Consumers.

1.3 Business / enterprise / professional use only with permission. If you want to use the Service on behalf of a company, fund, newsroom, institution, website, paid newsletter, or for any commercial, professional, institutional, journalistic, client-serving, or other business-related purpose, you may do so only if we offer a plan for that purpose or we have agreed with you in writing. If you want such access, contact us at contact@shortsinsights.com.

1.4 API access does not change the permitted use. If your plan includes API access, that API access is also for your personal, non-commercial use only unless we expressly agree otherwise in writing.

1.5 We may suspend or terminate access if we reasonably believe you are under 18 or are using the Service in a prohibited way.

2) Definitions

"API" means any application programming interface, endpoint, feed, token-authenticated access method, or related developer access we make available as part of the Service.

"API Credentials" or "API Keys" means any key, token, secret, bearer credential, or similar authentication mechanism used to access the API.

"API Documentation" means any technical documentation, usage guidance, schema descriptions, examples, and developer materials we provide for the API.

"API Output" means any data, results, responses, metadata, or other information returned by the API.

"Business User" means any person using the Service on behalf of a business or for commercial/professional purposes.

"Consumer" means a natural person acting for purposes outside their trade, business, craft, or profession.

"Content" means the Service interface, design, text, charts, visualisations, software, API Documentation, and related materials (excluding third-party content from Public Sources).

"Data" means information displayed or made available through the Service, including aggregated, standardised, visualised, or API-delivered net short position disclosures and derived views/metrics.

"Permitted Internal Use" means use solely for your own personal, non-commercial purposes as permitted by these Terms, and not for resale, redistribution, publication, client servicing, multi-user access, or any competing or commercial use.

"Plan Entitlements" means the features, usage allowances, access scope, API availability, rate limits, and other limits or permissions included with a particular plan or Subscription.

"Public Sources" means third-party public sources such as national regulator disclosures (e.g., AFM, BaFin, AMF, CNMV, CONSOB and others).

"Subscription" means a paid plan that provides access to premium features/content.

3) Scope and purpose

3.1 The Service aggregates, standardises, and visualises information about disclosed net short positions for European-listed securities, based on Public Sources and our processing.

3.2 The Service is provided for informational purposes only.

3.3 No affiliation. ShortsInsights is not affiliated with, endorsed by, or acting on behalf of any regulator, exchange, or issuer.

4) Eligibility and your responsibilities

4.1 You may use the Service only if you can form a legally binding contract, are at least 18 years old, and comply with applicable laws.

4.2 You are responsible for your devices, software, and internet access required to use the Service.

4.3 You must not misuse the Service or interfere with its operation or security.

5) Accounts and security

5.1 Certain features require registration and an account. You must provide accurate information and keep it up to date.

5.2 One account per person. Your account is personal to you. You may not share access, sell, rent, transfer, sublicense, or "resell" your account, login credentials, or API Credentials.

5.3 You are responsible for keeping your login credentials and any API Credentials confidential and secure, and for all activity under your account and credentials.

5.4 You must notify us promptly if you suspect unauthorised access, credential leakage, compromise, or other security issues related to your account or API Credentials.

5.5 We may suspend or terminate accounts, sessions, or credentials if we reasonably believe there is misuse, a security risk, account sharing/resale, credential compromise, or a breach of these Terms.

6) Subscriptions, billing, and payments (Stripe)

6.1 Plans and pricing. The Service may offer a Free plan and one or more paid plans (e.g., "Basic"). Current prices, plan features, whether API access is included, and any applicable usage allowances, rate limits, or other Plan Entitlements are shown on the Pricing page and/or at checkout. Plan Entitlements may differ by plan and may change over time.

6.2 EUR incl. VAT (Consumers). Prices shown on the Pricing page are in EUR and include VAT for Consumers, unless explicitly stated otherwise. VAT may be calculated based on your location as required by law.

6.3 Payment processor. Payments are processed by Stripe (or another payment provider we may use). We do not store your full payment card details on our servers. Stripe's terms and policies may apply to Stripe-hosted checkout/billing flows.

6.4 Recurring billing. Subscriptions are billed in advance on a recurring basis (e.g., monthly or yearly) until cancelled.

6.5 Start date. Your Subscription starts when your payment is confirmed (or when access is granted) and runs for the billing period shown at checkout.

6.6 Cancellation. You can cancel your Subscription via the app (e.g., billing portal) or your account settings (if available). Cancellation stops renewal at the end of the current billing period, and you will retain access until then.

6.7 Upgrades mid-cycle. You may upgrade your plan mid-cycle. Upgrades may take effect immediately. Any proration/charges are handled by Stripe where enabled and shown to you in the billing flow.

6.8 Failed payments and grace period. If a payment fails, we may retry collection. If payment is not successfully collected within 7 days, we may suspend paid access, including API access, until payment is resolved.

6.9 Chargebacks. If you initiate a chargeback or payment dispute, we may suspend access while it is pending.

6.10 Business indicators. If you provide business identifiers (e.g., company details or VAT ID) or otherwise use the Service as a Business User, we may require a business plan and/or separate terms, or refuse service under these consumer Terms.

7) Withdrawal right and refunds (Consumers)

7.1 14-day withdrawal. If you are a Consumer in the EU and purchase a Subscription online, you may withdraw from the purchase within 14 days from the day of purchase, unless a mandatory-law exception applies.

7.2 How to withdraw. To withdraw, email contact@shortsinsights.com within the 14-day period with your account email and a clear statement that you want to withdraw.

7.3 Pro-rata deduction where allowed. If you had access to paid features during the withdrawal period and mandatory law allows it, we may deduct a pro-rata amount for the time you had access and refund the remainder.

7.4 After 14 days. After the withdrawal period, fees are non-refundable, except where mandatory law requires otherwise.

7.5 Business Users. The statutory consumer withdrawal right does not apply to Business Users.

8) Data sources, methodology, and accuracy

8.1 The Data displayed through the Service, including API Output, may be collected, processed, and calculated automatically from Public Sources. We also apply cleaning, normalisation, and mapping (e.g., identifiers, naming conventions, rounding, corporate actions), which may affect outputs.

8.2 While we aim to provide useful information, we do not guarantee that the Data is complete, current, accurate, or error-free.

8.3 Data and API Output may be affected by reporting delays, corrections, restatements, corporate actions, identifier mapping, rounding, source outages, methodology changes, or downstream processing issues.

8.4 Not the official record. Public Sources and official regulator publications remain the authoritative sources. You should verify any information with the relevant regulator before relying on it.

8.5 We may modify sources, calculations, metrics, labels, presentation, API fields, schemas, or methodology at any time, with or without notice.

8.6 Report errors. If you believe Data is materially incorrect, contact contact@shortsinsights.com with enough detail to locate the issue. We may investigate and may correct or annotate, but we do not guarantee support response times or a specific timeline for correction.

9) No investment advice

9.1 The Service does not provide investment advice. Nothing on the Service constitutes investment research, a recommendation, an offer, or a solicitation to buy or sell any security or adopt any investment strategy.

9.2 Any decisions you make based on the Service are solely your responsibility. If you need advice, consult a licensed professional.

10) Intellectual property

10.1 Our rights. All rights, title, and interest in and to the Service (including software, design, trademarks, visualisations, API Documentation, and our selection, coordination, normalisation, processing, and derived outputs) are owned by ShortsInsights or its licensors and are protected by intellectual property laws.

10.2 Third-party rights. Public Sources and their underlying disclosures are owned by their respective rights holders. Nothing in these Terms transfers ownership of third-party content to you.

10.3 Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service, including any API Output made available under your plan, only as permitted under Section 1 and these Terms.

10.4 No ownership transfer. Your permitted access to API Output does not transfer to you any ownership in the Service, our processing layer, our derived datasets, our structure or presentation, or any other ShortsInsights intellectual property.

10.5 No database replication. You may not use the Service or API Output to build, maintain, enrich, or distribute a database, archive, mirror, feed, or other resource that replicates or substitutes for the Service or any substantial part of it.

11) Restrictions and acceptable use (including no scraping)

11.1 No unauthorised automated access or extraction. You may not scrape, crawl, spider, probe, or use automated means (including bots, scripts, browser automation, or similar tools) to access the website or extract Data from the website. For clarity, authenticated use of the official API in accordance with your Plan Entitlements, these Terms, and the API Documentation is permitted; all other automated extraction remains prohibited.

11.2 No bulk copying or redistribution. You may not copy, reproduce, republish, redistribute, sell, sublicense, or make available any substantial portion of the Data, API Output, or Service, including by creating datasets, mirrors, archives, feeds, or competing products.

11.3 No competitive use / model training. You may not use the Service, Data, or API Output to build or improve a competing product or service, to create a substitute database or service layer, or to train or benchmark machine learning models for that purpose, without our prior written permission.

11.4 No circumvention. You may not bypass or attempt to bypass rate limits, access controls, authentication requirements, paywalls, plan restrictions, or other technical restrictions.

11.5 No reverse engineering. You may not reverse engineer, decompile, disassemble, or attempt to derive source code or underlying ideas or algorithms from the Service, except to the extent permitted by mandatory law.

11.6 Fair use / rate limits. We may use technical measures (including rate limiting, bot detection, authentication controls, and other access controls) to enforce these restrictions and protect the Service.

11A) API access and use

11A.1 Availability of API access. API access is available only if your current plan or Subscription expressly includes it. API access, endpoints, fields, features, usage limits, and supported functionality may differ by plan.

11A.2 Authentication. Access to the API may require bearer authentication using API Credentials that we issue or enable for your account.

11A.3 One key per account. Unless we expressly allow otherwise, we may issue only one API key per account. Your API key is personal to you and may not be shared, transferred, published, embedded in public code, exposed in client-side code, or otherwise made available to any third party.

11A.4 Your responsibility for key use. You are responsible for all requests and activity made using your API Credentials, whether or not authorised by you.

11A.5 Leakage, rotation, suspension, and revocation. If we reasonably suspect compromise, misuse, leakage, excessive risk, or breach of these Terms, we may rotate, suspend, limit, or revoke API Credentials at any time. You must notify us promptly if you suspect any compromise or unauthorised use.

11A.6 Permitted API use. Subject to your Plan Entitlements, you may use the API only for your own Permitted Internal Use, including viewing, querying, and incorporating API Output into your own personal workflows or tools for personal, non-commercial use. API use does not authorise business use, client use, team use, public use, or multi-user access unless we expressly agree otherwise in writing.

11A.7 Storage, caching, and internal enrichment. You may store or cache API Output only for your own Permitted Internal Use and only to support your personal use of the Service. You may not redistribute that stored data, expose it to others, or use it to build or maintain a product, database, dashboard, feed, archive, or other resource that replicates or substitutes for the Service. You must delete stored or cached API Output if we reasonably request that you do so.

11A.8 Prohibited API conduct. You may not: (a) share API Credentials; (b) resell, lease, sublicense, or provide raw API access to any third party; (c) use the API on a multi-tenant, service-bureau, or pooled basis; (d) bypass or attempt to bypass rate limits or other usage controls; (e) use the API in a manner that imposes excessive load or otherwise abuses the Service; or (f) use the API to scrape, mirror, or replicate the Service or its underlying datasets.

11A.9 Limited sharing of excerpts. These Terms do not prevent the limited sharing of small excerpts, screenshots, tables, or graphs derived from the Service or API Output for non-commercial purposes under Section 12, provided that such sharing does not undermine, substitute for, or compete with the Service and clearly credits ShortsInsights and links to our website.

11A.10 No SLA / maintenance / interruptions. The API is provided on an "as available" basis. We do not guarantee uptime, availability, throughput, response times, uninterrupted operation, or error-free API access. We may perform maintenance, apply rate limits, modify capacity, or temporarily interrupt or suspend the API at any time.

11A.11 API changes, versioning, and deprecation. We may add, modify, replace, limit, or remove API endpoints, fields, schemas, authentication methods, or other functionality at any time. Where reasonably practicable, we will aim to give at least 30 days' notice of material breaking changes or deprecations, but we are not liable if shorter notice is necessary for security, legal, operational, or technical reasons.

11A.12 Abuse and enforcement. We may investigate suspicious activity, abnormal traffic, automated abuse, credential misuse, scraping through the API, excessive load, or other conduct that threatens the Service. We may throttle, rate-limit, suspend, revoke API Credentials, terminate access, or take other protective action.

11A.13 Effect of termination or plan change. If your Subscription ends, payment fails, your account is terminated, or your plan changes so that API access is no longer included, your API access may stop immediately and your API Credentials may be suspended or revoked without further notice.

12) Limited sharing with attribution

12.1 You may share limited excerpts (for example, a small screenshot of a chart, a short quote of figures, or a small table or graph derived from the Service or API Output) for non-commercial purposes, provided that you: (a) clearly credit "ShortsInsights" as the source near the excerpt; (b) include a link to our website where reasonably possible; (c) do not misrepresent the excerpt as official, regulator-provided, or endorsed; and (d) do not remove watermarks or legal notices (if present).

12.2 Commercial or journalistic use requires approval. Any commercial, professional, institutional, or journalistic use of screenshots, tables, graphs, quotes, or similar excerpts (including publishing in articles, newsletters, paid content, or on business websites) requires our prior written permission.

12.3 Any broader reuse (including embedding, systematic sharing, redistribution, publishing substantial extracts, or sharing in a way that undermines or substitutes for the Service) requires our prior written permission.

13) Third-party services and links

13.1 The Service may contain links to third-party websites or services. We do not control them and are not responsible for their content, policies, or practices.

13.2 Your use of third-party services is at your own risk.

14) Disclaimers

14.1 The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of accuracy, availability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

14.2 We do not guarantee that the Service, including the API, will be uninterrupted, secure, available at any particular time, or error-free, or that defects will be corrected.

14.3 Nothing in these Terms limits mandatory rights you may have under applicable consumer law.

15) Limitation of liability

15.1 To the maximum extent permitted by law, ShortsInsights will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, trading or investment losses, or business interruption arising out of or related to your use of (or inability to use) the Service.

15.2 Where liability cannot be excluded under Dutch law, ShortsInsights' total liability for any claim will be limited to the amount you paid for the Service in the 12 months before the event giving rise to the claim (or EUR 100 if you have not paid anything), except where mandatory law requires otherwise.

15.3 Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law (including liability for intent or gross negligence where such limitation is not permitted, or for death or personal injury caused by negligence).

16) Indemnity (Business Users)

If you use the Service as a Business User, you agree to indemnify and hold ShortsInsights harmless from claims, damages, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms or misuse of the Service.

17) Suspension, termination, and changes

17.1 We may suspend or terminate your access, including API access and API Credentials, if we reasonably believe you violated these Terms, created risk, misused the Service, engaged in suspicious or abusive activity, or if required by law or sanctions compliance.

17.2 We may modify, discontinue, or restrict any part of the Service at any time.

17.3 We may update these Terms from time to time. The "Last updated" date indicates the most recent version. Continued use after changes take effect means you accept the updated Terms.

18) Sanctions and restricted use

You represent that you are not subject to sanctions or located in a region where providing the Service would be prohibited. We may block access where necessary to comply with law or sanctions.

19) Privacy

We process personal data in accordance with our Privacy Policy.

20) Governing law and disputes

20.1 These Terms are governed by the laws of the Netherlands, excluding conflict of law rules.

20.2 Mediation first. If a dispute arises, you and we will first try in good faith to resolve it through informal discussions. If unresolved, we will attempt mediation in the Netherlands, unless mandatory law provides otherwise.

20.3 Court. If the dispute is not resolved, it will be submitted to the competent court in Amsterdam, unless mandatory law provides otherwise.

21) Miscellaneous

21.1 Severability. If any provision is found unenforceable, the remaining provisions remain in effect.

21.2 No waiver. Failure to enforce any provision is not a waiver.

21.3 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, reorganisation, or sale of assets.

21.4 Entire agreement. These Terms and the Privacy Policy form the entire agreement between you and us regarding the Service.
